BAYADA Home Health Care is seeking a Corporate Counsel to join our team. This role provides legal support across a range of corporate, healthcare regulatory, contracting, and operational matters, helping BAYADA continue to deliver care with the highest standards of integrity and compliance. POSITION SUMMARY: The Corporate Counsel will be primarily responsible for providing legal support to the Associate General Counsel with enterprise commercial contracting needs and BAYADA’s procurement department with commercial leasing activities and field office service contracts. The Corporate Counsel will support a wide variety of contracting, including leases, service agreements, SaaS agreements, consulting agreements, NDAs, business associate agreements, and clinical affiliation agreements. The Corporate Counsel may also provide support to the Associate General Counsel and other senior attorneys with acquisitions, corporate governance, and regulatory matters. The ideal candidate is a pragmatic, detail-oriented attorney who can translate complex legal issues into clear, actionable guidance for non-legal stakeholders. MINIMUM QUALIFICATIONS: Exemplifies characteristics of The BAYADA Way: compassion, excellence and reliability. Four (4) year college degree. Juris Doctorate from an ABA accredited law school, strong academic credentials, and a license to practice law in any state in good standing with eligibility for NJ Bar limited admission as in-house counsel. Four (4) or more years of relevant work experience with emphasis on commercial leases and corporate contracting, including service agreements and SaaS agreements; healthcare or tech sector is a plus. Track record of increasing responsibility with positive results. Strong problem solving, leadership, and interpersonal skills. Effective communication skills with the ability to present and respond to senior directors. Excellent organizational skills, attention to detail, ability to independently manage workstream, and judgment to know when to escalate or seek guidance. Ability to meet critical deadlines and recognize opportunities to improve processes and follow through with efficient solutions; flexible, determined, and capable of managing multiple priorities. Ability to read, write and effectively communicate in English with broad spectrum of business clients. Ability and willingness to travel to BAYADA offices as needed, working from Pennsauken headquarters at least two days a week. Proficiency with Microsoft Office Suite and standard business/legal technology, including contract lifecycle management (CLM), AI technology, and e-signature platforms. PRIMARY RESPONSIBILITIES: Demonstrate and communicate the core values of BAYADA and The BAYADA Way and a passion for its mission. Develop working knowledge of BAYADA’s mission, services, people, organization, policies and procedures, acting as an ambassador of the legal team. Draft, negotiate, and drive execution of commercial leases, service agreements, SaaS agreements, clinical affiliation agreements, and other commercial contracts Identify and evaluate key legal issues in leases and contracts and provide proactive strategic advice to business partners to safeguard assets, mitigate risks, and improve efficiency. Support other Procurement needs and partner with Procurement Director to drive vendor optimization and overall procurement strategy. Manage landlord and vendor disputes and apply judgment to escalate appropriately. Support BAYADA’s local service offices’ contracting activities as needed and develop self-service processes for recurring and non-recurring agreements. Identify continuous improvement opportunities to simplify contracting processes, drive standardization, and mitigate risk, including developing playbooks and workflows in enterprise CLM system, improving templates, and providing guidance on policies, processes for escalations and approvals, and performance metrics. Remain up to date on relevant industry trends, laws and regulations impacting leases and commercial contract compliance and vendor management, including Stark, Anti-Kickback, HIPAA and state equivalents, data security regulations such as GDPR, CCPA and state equivalents, AI governance, and nonprofit tax and regulatory requirements, to ensure an ongoing ability to provide timely and sound advice. Demonstrate solid performance or exceed performance standards in key job dimensions/attributes as defined on the Performance Appraisal for Office Staff.
